These Terms of Use ("Terms") form a binding agreement between Creda Technologies, LLC ("Creda Technologies," "we," "our," or "us") and any individual or entity that accesses or uses our websites, portals, APIs, SDKs, or services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization (such as a hospital system, airport authority, financial institution, or government agency), you represent that you are authorized to accept these Terms on that organization’s behalf. If you do not agree to these Terms, you must not use the Services.
Important: These Terms are separate from any enterprise agreement, business associate agreement (BAA), data processing addendum (DPA), or other contract that may govern the commercial relationship between Creda Technologies and an organization. In the event of a conflict, the signed enterprise agreement will generally control for that relationship.
1. Scope of the Services
Creda Technologies develops infrastructure for identity-bound credentials, portable compliance tokens, and cross-institution trust, including (without limitation):
- The Creda Protocol (compliance mobility and identity/credential binding layer).
- The Creda Registry (anchoring, revocation, and audit layer).
- Creda 1 and other applications for clinicians, operators, and specialists.
- APIs, SDKs, consoles, sandboxes, and advisory/governance portals.
We may update, evolve, or modify the Services from time to time, including by adding or removing features, piloting new components, or adjusting our technical architecture.
2. Eligibility and Authorized Use
You may use the Services only if you:
- Are at least 18 years of age, and
- Have the legal capacity to enter into these Terms, and
- Are not prohibited from using the Services under applicable law.
If you are accessing the Services in your capacity as an employee, contractor, or representative of an organization, your right to use the Services may be subject to that organization’s policies and its agreement with us. Your use must comply with both:
- These Terms, and
- Any internal rules, procedures, or obligations imposed by your organization or regulator.
3. Accounts, Security, and Access Credentials
Certain features of the Services may require an account, login, API key, or other access credential. You are responsible for:
- Maintaining the confidentiality of your credentials.
- Limiting access to devices and systems where those credentials are stored or used.
- Informing us or your organization promptly of any suspected compromise.
You agree that you will not share your credentials with unauthorized third parties and will use appropriate security practices (such as strong passwords and multi-factor authentication where available).
4. Permitted and Prohibited Uses
4.1 Permitted Use
You may use the Services solely to:
- Evaluate, pilot, or deploy identity, credential, and compliance workflows with Creda infrastructure.
- Issue, verify, or manage credentials and compliance tokens as authorized by your organization.
- Access dashboards, logs, and audit trails relevant to your role.
- Participate in governance, advisory, or standards discussions coordinated by Creda Technologies.
4.2 Prohibited Use
You may not use the Services to:
- Violate any applicable law, regulation, or binding professional rule.
- Engage in unauthorized surveillance, discrimination, or harassment.
- Access data for which you lack a legitimate, authorized purpose.
- Attempt to bypass, disable, or undermine security, identity verification, or compliance checks.
- Reverse engineer or decompile the Services except to the extent permitted by law.
- Build a substantially similar competing service by misusing non-public information or features.
- Introduce malware, malicious code, or denial-of-service attacks.
- Falsify or manipulate identity, credentials, or compliance tokens outside lawful test environments.
We reserve the right to suspend or terminate access, with or without notice, in the event of suspected or actual misuse of the Services.
5. Relationship with Enterprise Customers
If you use the Services through, or in connection with, an enterprise customer (for example, a hospital system, airport, financial institution, or government agency):
- Your account and associated data may be administered by that organization.
- The organization may control access permissions, retention, and audit requirements.
- Applicable data protection, BAA, or services agreements may define our obligations as a processor or service provider.
In such cases, questions about how your employer or institution handles your data, credentials, or employment-related decisions should generally be directed to that organization.
6. Intellectual Property
Creda Technologies and its licensors own all rights, title, and interest in and to the Services, including all software, documentation, designs, user interfaces, and related intellectual property, subject only to the limited rights granted in these Terms and any applicable enterprise agreement.
Except as expressly permitted in writing, you may not:
- Copy, modify, or create derivative works of the Services.
- Remove or alter any proprietary notices, logos, or disclaimers.
- Use any Creda Technologies trademarks, logos, or brand assets without prior written permission.
Any feedback, suggestions, or ideas you provide about the Services may be used by us without obligation to you, and you hereby grant us a non-exclusive, worldwide, royalty-free license to use such feedback for any lawful purpose.
7. Confidentiality and Data Protection
In regulated sectors, much of the information processed via the Services may be sensitive or confidential. Each party agrees to:
- Protect confidential information using reasonable and appropriate safeguards.
- Use confidential information only as necessary to provide or receive the Services.
- Limit access to individuals with a legitimate need-to-know.
Our handling of Personal Information is further described in our Privacy Policy. Where required, our role as a "business associate," "processor," or "service provider" may be governed by separate BAAs, DPAs, or similar instruments with enterprise customers.
8. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Services will be uninterrupted, error-free, or free from harmful components.
- All identity or credential data provided by third parties is complete, accurate, or current.
- Use of the Services will guarantee regulatory compliance or prevent all security incidents.
- Any particular feature or capability will continue to be offered indefinitely.
Not Legal Advice: While the Services may assist with compliance workflows, audit trails, or regulatory reporting, Creda Technologies does not provide legal, medical, or professional advice. You are responsible for consulting appropriate counsel and experts for your specific obligations.
9. Limitation of Liability
To the maximum extent permitted by law, in no event will Creda Technologies, its affiliates, officers, directors, employees, or agents be liable for any:
- Indirect, incidental, special, consequential, or punitive damages, or
- Loss of profits, revenue, goodwill, data, or business opportunities,
arising out of or in connection with your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.
To the extent liability cannot be excluded, our aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of:
- One hundred U.S. dollars (USD $100), or
- The amounts paid (if any) by the relevant enterprise customer to Creda Technologies for the Services giving rise to the claim during the twelve (12) months preceding the event.
The limitations in this section apply to all theories of liability, whether based in contract, tort, negligence, strict liability, or otherwise, and to the fullest extent permitted by law.
10. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Creda Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your violation of these Terms or any applicable law or regulation.
- Your misuse of the Services or misuse of identity, credential, or compliance data obtained via the Services.
- Any dispute between you and a third party (including your employer or institution) relating to your use of the Services.
11. Third-Party Services and Links
The Services may interact with, or link to, third-party systems, datasets, identity providers, credentialing vendors, or background check platforms. We do not control and are not responsible for the content, policies, or practices of those third parties.
Your use of third-party services is governed by their own terms and privacy notices. We make no guarantees regarding the availability, accuracy, or reliability of any third-party service.
12. Changes to the Services and These Terms
We may modify the Services or these Terms at any time. When we update these Terms, we will revise the "Last Updated" date at the top of this page and may provide additional notice where required by law or contract.
Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Services.
13. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, if:
- We reasonably believe you have violated these Terms or applicable law.
- We are required to do so by law, regulation, or a competent authority.
- We discontinue all or part of the Services.
Upon termination, your right to use the Services will cease immediately. Certain provisions (including, without limitation, those relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) will survive.
14. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
You agree that any legal action or proceeding arising under or relating to these Terms or the Services will be brought exclusively in state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.
Nothing in this section limits any rights you or Creda Technologies may have to seek injunctive or other equitable relief in any jurisdiction.
15. Export and Sanctions Compliance
You may not use the Services in violation of U.S. or other applicable export control or sanctions laws. You represent that you are not:
- Located in a jurisdiction that is subject to comprehensive U.S. sanctions, or
- Listed on any U.S. government list of prohibited or restricted parties.
16. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
These Terms, together with any additional terms referenced or agreed in writing (including enterprise agreements where applicable), constitute the entire agreement between you and Creda Technologies with respect to the subject matter and supersede all prior or contemporaneous understandings.
